1 The Applicant must be a single legal entity or recognised firm of partners except where the Proposal is submitted by a consortium and the proposal specifies that each member of the proposed consortium will be party to the contract on a joint and several basis.
2 The Applicant and any proposed subcontractor must be compliant with the Modern Slavery Act 2018 and any other applicable labour laws and standards in the jurisdiction in which they operate.
3 The Applicant and any subcontractor must not have a judicial decision against it (not including decisions under appeal) relating to employee entitlements and who have not paid the claim.
4 The Applicant and any subcontractor must not be named on the Consolidated List, being the list of persons and entities who are subject to targeted financial sanctions or travel bans under Australian sanction laws, as maintained by the Department of Foreign Affairs and Trade.
5 In accordance with the Shadow Economy Procurement Connected Policy, an Applicant must include all of the satisfactory and valid Statement of Tax Records (STR) required, depending on which type of legal entity the Applicant is. If the total value of all work under any proposed subcontract is expected to be equal to or above $4 million (inclusive of GST), the Applicant must also include a separate satisfactory and valid STR of that proposed subcontractor.
6 Applicants must comply with the Payment Times Procurement Connected Policy (PTPCP) (see: https://treasury.gov.au/sites/default/files/2021-06/183909-pt_pcp_guidelines_0.pdf). Applicants must indicate as part of their Proposal whether or not they are a ‘Reporting Entity’ within the meaning of the Payment Times Reporting Act 2020 (Cth) for the purposes of the PTPCP.
7 The Applicant and any subcontractors proposed in the Proposal must be compliant with the Workplace Gender Equality Act 2012 (Cth).
GRDC intends to contract under a Partnering Agreement following a co-design process with invited Applicant/s. It is anticipated that the Partnering Agreement will, at a minimum, detail the structure, governance, key performance indicators, risks, co-investment, communication protocols, relationships between the parties, and other key attributes of the Nitrogen Mission. A Term Sheet outlining the expected key terms and conditions of that Partnering Agreement/s is provided as Attachment 2 to this document. It is anticipated that any resultant contract/s in relation to this Request for Partnering will commence with a proposed term of ten (10) years.
